How the MSO-PC structure works
In an MSO-PC structure, two entities operate alongside each other. A professional entity, a PC or PLLC owned by a licensed physician, holds the clinical side. A management services organization holds the non-clinical business functions: staffing, scheduling, marketing, billing, and administration. A management services agreement defines the relationship between them and how the MSO is compensated.
The structure exists because many states place restrictions on who may own an entity that provides clinical services. Those restrictions differ substantially between states, and some regulate the arrangement in ways that go beyond ownership. Fee arrangements and clinical control are both commonly addressed.
